# Capitalixe UAE presence and legal-entity scope

Research pass: 5 November 2026, approximately 11:56–12:01 UTC. Finding IDs UA01–UA05. This is a bounded follow-up to the discovery of `capitalixe.ae`, not a finding that Capitalixe’s Dubai presence was a competing or successor business.

Capitalixe publicly announced a Dubai expansion involving **both** Ivan Kovachev and Lissele Pratt. The regional English and Arabic websites present the same brand, relevant team and UK privacy contact. Those website sources do not disclose a separate UAE identifier. **A later official-directory follow-up supersedes that identification gap:** [UAD01–UAD03](uae-official-directory-check.md) identify **CAPITALIXE L.L.C-FZ**, DUL **DE7567**, Meydan licence **2205459.01**, Active at capture, with issue date 23 December 2022 and the published contact **ivan@capitalixe.com**. Shareholders, beneficial owners, the precise website/service counterparty and a GTS/Impact relationship remain unresolved.

The requester has already confirmed CAPITALIXE LTD, UK number **11853977**, as the original business. That supersedes the older brief’s statement that the original company is unidentified. The .ae notice uses the name Capitalixe Limited but does not itself display that UK number. It must not be used to attribute every UAE transaction to the UK company without its contract or equivalent evidence.

## Findings and practical significance

### UA01 — Regional legal notices point to Capitalixe Limited and a UK contact

The English [privacy notice](https://capitalixe.ae/privacy-policy/) names Capitalixe Limited at its opening and gives 71–75 Shelton Street, London WC2H 9JQ, United Kingdom in section 12. The [Arabic privacy notice](https://ar.capitalixe.ae/privacy-policy/) repeats the English legal name and UK address in its contact section. Both display a last-update date of **16 August 2022**. The .ae homepage links a global site at `capitalixe.com`; the .com Dubai announcement links the regional .ae site.

Status: current primary website disclosures. This establishes a public brand and privacy-contact association. It supports attribution to the case-confirmed original UK business, but the notice does not prove the UAE service counterparty, a UAE branch, a separately incorporated UAE subsidiary, domain registrant identity, or a historic .ae launch in 2022. An old policy date can be copied into a later website.

Captures: English privacy **2026-11-05T11:58:28.333400+00:00**; Arabic privacy **11:59:05.826160+00:00**; regional homepage **11:56:53.127603+00:00**. Original HTML and derived text are preserved below.

### UA02 — Dubai expansion is publicly presented as a joint co-founder move

Capitalixe’s own [Dubai expansion announcement](https://capitalixe.com/newsroom/capitalixes-dubai-expansion/) displays **15 October 2025**. Its key takeaways and operational discussion say that both co-founders relocated to Dubai to oversee expansion. It describes closer regional client and introducer relationships for the same high-risk payments and banking advisory brand.

The linked [Financial IT coverage](https://financialit.net/news/infrastructure/capitalixe-expands-dubai-amid-rising-demand-high-risk-solutions-mena) displays **14 October 2025, 08:15 am**, without a stated timezone. The linked [FF News article](https://ffnews.com/news/capitalixe-expands-to-dubai-amid-rising-demand-for-high-risk-solutions-in-mena/) displays **13 October 2025**. The linked [UAE FinTech coverage](https://uaefintech.co/london-fintech-capitalixe-expands-to-dubai-amid-rising-demand-for-high-risk-solutions-in-mena/) describes Capitalixe as London-headquartered and repeats the co-founder relocation account.

Status: primary business representation repeated in trade press. The close wording indicates dissemination of substantially the same announcement; it is not independent verification of a move, incorporation or trading. The different dates belong to different publications and are not contradictory relocation dates. No exact relocation date, new UAE company, local licence, signed customer relationship, GTS relationship or Impact Capital relationship is established.

Captures: primary article **2026-11-05T11:56:54.634737+00:00**; Financial IT **11:58:34.628232+00:00**; UAE FinTech **11:58:31.609806+00:00**. Direct FF News capture completed **11:58:29.248326+00:00**, redirecting its old route to the current `/news/` route; that raw response was a client-rendered shell. A separate web-rendered extraction of the article, completed by **12:00:19 UTC**, is preserved with this limitation. These are current captures of publisher-displayed dates, not independently archived first publication.

### UA03 — The regional page names the same relevant team and describes an intermediary

The .ae [team page](https://capitalixe.ae/why-us/) names Ivan Kovachev as co-founder and CEO, Lissele Pratt as co-founder and CGO, and Elena Kovacheva as senior consultant. This directly answers whether the regional site publicly associates those people with Capitalixe. It does not date their appointments or establish UAE employment, director status or shareholding.

The site footer describes Capitalixe as an intermediary introducing clients to licensed banks and financial institutions; it says Capitalixe does not hold a financial-services licence and does not itself deliver the regulated services. The [contact](https://capitalixe.ae/contact/) and [FAQ](https://capitalixe.ae/faq/) pages repeat the business model. Their legal, contact and footer text supplies no precise separate UAE company or licence identifier.

Status: current primary website representations, captured **2026-11-05T11:58:27.554988+00:00** for team, **11:58:27.924067+00:00** for contact and **11:58:27.561043+00:00** for FAQ. This is not an official regulatory determination. A financial-service disclaimer does not establish absence of a UAE trade licence, the requirements of a particular activity, or any unlawful conduct. It also does not connect the regional brand to a GTS transaction or diverted client.

### UA04 — A concrete introducer brochure describes referral commissions and prospective Dubai specialists

The .ae [partnerships page](https://capitalixe.ae/partnerships/) directly links an original [five-page brochure](https://capitalixe.ae/wp-content/uploads/2025/02/Capitalixe-Introducer-Program-Jan-25.pdf). The brochure is branded Capitalixe, links `capitalixe.com`, and bears Capitalixe Ltd footers. Its cover claims release in **January 2025**. Embedded metadata records creation on **20 February 2025 at 14:19:09 UTC**, with modification one second earlier. Embedded dates are mutable, and neither they, the upload path nor the cover establish historic public availability.

All five physical pages were rendered and visually inspected. Physical pages 2–3 describe referral commissions conditional on successful client onboarding and engagement. Physical page 4 seeks financial providers and specialists in places such as Dubai who can offer licensing, regulation or incorporation services. This is a description of desired provider capabilities, not identification of a signed partner. The brochure supplies no company number, licence number, named customer, completed placement, invoice or actual commission payment.

Physical page 3 permits programme introducers to work with other providers. That is marketing for the introducer programme. It does **not** establish Lissele’s consent to a director’s outside venture, a board authorisation, the terms of either founder’s obligations, or approval for GTS. The printed footer numbering repeats page 3, so physical PDF page numbers should be used for review.

Status: captured original marketing document; historical distribution and realised activity unverified. Partnerships capture **2026-11-05T11:58:29.562853+00:00**; PDF capture **11:59:34.398143+00:00**. The preserved original, extracted text, metadata and five page renders are in the source folder.

### UA05 — Linked directory supplies brand context but no UAE incorporation detail

The [UAE FinTech Capitalixe profile](https://uaefintech.co/company/capitalixe/), reached from the announcement’s coverage, identifies the founders as Lissele Pratt and Ivan Kovachev, founding year 2019, headquarters London and locations global. It gives no precise separate UAE legal name or licence number. No publication date is displayed in the captured profile.

Status: third-party directory representation, captured **2026-11-05T11:59:06.616264+00:00**. Its update process is unknown. The directory publisher’s Miramar Media LLC footer must not be attributed to Capitalixe. An adjacent Bybit licence story concerns Bybit and establishes nothing about Capitalixe’s licensing.

## Research queue and dispositions

| ID | Origin / question | Priority and approaches performed | Finding / disposition | Exact next action if new evidence becomes available |
|---|---|---|---|---|
| UA-L01 | Newly discovered `.ae` site: does the public legal text name a UAE operator? | High. Read website legal/team/contact pages and Arabic notices; later followed official Dubai public name search to exact licence detail and downloaded PDF. | UA01, UA03; superseded in part by UAD01. Official UAE entity/licence identified with Capitalixe-domain contact. Website contracting role and ownership remain unproved. | Compare existing contract/invoice/operator disclosure with CAPITALIXE L.L.C-FZ, DE7567 / 2205459.01; obtain an attributable ownership/manager record if relevant. |
| UA-L02 | Prior Capitalixe Dubai announcement: when and whose move was announced? | High. Retrieved primary announcement and three linked trade-publication versions. Compared displayed dates and quoted founders. | UA02. Public account involves both founders; exact relocation and historical first-availability dates remain unresolved. | A dated archive or original press-release distribution record could establish publication chronology; corporate records are needed for legal presence. |
| UA-L03 | Team and licence disclaimer: is there a new person or precise licence lead? | Medium. Website team/footer/contact/FAQ and exact brand searches; later official name-search, detail and licence PDF followed. | UA03 and UAD01–UAD03. Team publicly named; official commercial management-consultancy licence now identified. This does not determine financial-services permissions or director/shareholder roles. | Use the exact new entity/licence identifiers for any subsequent attributable filing or contract; do not infer ownership from email contact. |
| UA-L04 | New brochure linked by partnerships: does original document disclose legal counterparty or a named partner? | High follow-up. Downloaded original, extracted metadata/text and visually inspected all five physical pages. | UA04. Capitalixe Ltd footers and referral business model established as marketing. No UAE identifier, named partner or transaction; no-exclusivity language is not director consent. | A signed version of the introducer agreement, partner confirmation or commission record would test actual commercial activity and the legal counterparty. |
| UA-L05 | New UAE FinTech company-profile link: can a regional directory identify a separate company? | Medium. Followed the actual linked Capitalixe profile and compared its founder/HQ/location fields. | UA05. Brand directory context only; no new identifier. Publisher and neighbouring article names excluded from attribution. | Reopen only on a material profile change or a new named corporate identifier. |

The initial website-only pass did not perform an official register search. Review identified that the official Dubai directory supports business-name queries; the [subsequent directory investigation](uae-official-directory-check.md) completed that route, found the exact licence and followed the issuer's public routes. The national Growth register homepage loaded, but further interaction timed out in that session. This is not an exhaustive national registry search. No account, contact form, external communication, transaction, active scan, certificate bypass or publication was used; only ordinary public lookup controls were submitted.

## Evidence package and closure

The source package is [sources/pass-2-uae](sources/pass-2-uae/). [findings.json](sources/pass-2-uae/findings.json) contains stable finding IDs, source titles, exact capture times, dates, locations and limitations. [search-log.json](sources/pass-2-uae/search-log.json) records query strings and distinct approaches. [manifest.json](sources/pass-2-uae/manifest.json) records SHA-256 hashes and file sizes for the captured material and derived inspection aids; it does not guarantee authenticity or admissibility.

The later UAD investigation establishes a case-relevant UAE legal name and licence with a Capitalixe-domain contact, superseding the original no-identifier outcome. No GTS/Impact bridge was established. The practical remaining evidence is an attributable ownership/manager record and the exact legal counterparty on an existing UAE business document, plus original transaction records if actual trading or diversion is alleged. The licence's displayed issue date is not proof of incorporation, first trading or the date of the co-founders' relocation.
