# Corporate control and original filings

Prepared 5 November 2026. This report concerns public company records, not a determination of wrongdoing. The strongest new findings are in original GTS filings: Ivan is the sole initial subscriber/shareholder, is the registered PSC, and both Ivan and Elena are named as authorising the strike-off application. The person named in the register still needs to be tied to Lissele’s partner using original identity evidence.

**Requester clarification received during this investigation:** CAPITALIXE LTD, company11853977, is the original business. This resolves the original-company identification gap as a requester-confirmed fact. It does not by itself establish a breach or resolve every identity question.

## Findings

| ID | Finding | Evidence status | Event date | Primary support | Limitation |
| --- | --- | --- | --- | --- | --- |
| CC01 | Ivan Kovachev is the single person recorded as having significant control of GTS, with 75% or more of shares and voting rights and the right to appoint or remove directors. | Documented in retrieved official record | Notified 20 Aug 2024 | GTS PSC register; incorporation pp8–9 | A filed control statement; identity with the requester’s partner and complete subsequent beneficial ownership still require corroboration. |
| CC02 | GTS’s incorporation records one ordinary GBP1 share, initially allotted to Ivan Kovachev. The memorandum names him as the sole subscriber. | Documented in original filing | 20 Aug 2024 | Incorporation pp5–6, p12 | This establishes the filed initial allotment. It should not be described as proof of uninterrupted ownership throughout the company’s life. |
| CC03 | The original DS01 identifies both Ivan Kovachev and Elena Kovacheva as authorising directors, with signature dates of 19 Feb 2026 for each. | Documented in original filing, visually inspected | Signature dates 19 Feb 2026; filed 26 Feb 2026 | DS01 p1 | The document contains electronically presented names and dates. No forensic authentication of the signers was performed. Dissolution is not proof of misconduct. |
| CC04 | The original CS01 states a confirmation date of 19 Aug 2025 and electronic receipt on 21 Aug 2025. It does not name its individual authoriser. | Documented in original filing | Statement 19 Aug; filing 21 Aug 2025 | CS01 pp1–3 | The generic authorisation category on p3 is not evidence that a specific director submitted it. |
| CC05 | The GTS and Capitalixe entries for Ivan use different Companies House officer-profile IDs, although both give April 1993 as birth month/year. | Documented in retrieved official records | Appointments 20 Aug 2024 and 1 Mar 2019 respectively | GTS and Capitalixe officer appointment pages | Matching name, DOB, nationality and correspondence address provide corroboration but are not a shared officer-ID bridge. Separate IDs do not prove different people. |
| CC06 | The Swiss UID register and Zefix identify an active IMPACT CAPITAL MANAGEMENT Sàrl in Lausanne with UID CHE-464.300.033 and former name G & M Trading Sàrl. | Documented in retrieved official records | Current snapshot; name change published 30 Nov 2016 | Swiss UID and Zefix EHRA1012227 | This confirms the entity exists. A website displaying its identifier is still a website’s attribution claim until independently tied to the entity. |
| CC07 | Zefix’s reproduced official 2016 publications record transfer of two former associates’ 100-share holdings each to Mouanfon Ngouh Yacouba and appointment of him as managing president with individual signature. | Documented historical official publication | Registered 20 Jun; published 23 Jun 2016 | Zefix SHAB publication 2908437 | Historical registered ownership, not a current beneficial-ownership certificate. No GTS subjects are named in the displayed Swiss publications. That does not exclude an undisclosed commercial relationship. |
| CC08 | The Elena Kovacheva at TWO AND A HALF BIRDS LTD is a mismatched identity candidate: the official record gives August 1986 and Bulgarian nationality, whereas GTS gives June 1996 and British nationality. | Contradicted candidate identity match | Snapshot 5 Nov 2026 | Official officer record 12513829 | Exclude this name-only search hit from the GTS relationship map unless new identifying evidence resolves the mismatch. |
| CC09 | CAPITALIXE LTD11853977 is the requester-confirmed original business. Its Ivan appointment began1Mar2019 and the GTS Ivan appointment began20Aug2024; the register lists no resignation for either appointment in the reviewed records. | Original-company identity reported by requester; appointment dates documented in retrieved records | Recorded appointment periods overlap from20Aug2024 through GTS dissolution26May2026 | Requester clarification via parent; official officer records for both companies | The name and birth month/year match, but officer-profile IDs differ. Overlapping registered roles establish neither actual competitive trading nor legal breach. |

## Original GTS document review

### Incorporation: 30 pages

[Original Companies House PDF](https://find-and-update.company-information.service.gov.uk/company/15907803/filing-history/MzQzMjcyNTk0MGFkaXF6a2N4/document?download=0&format=pdf). Captured by direct HTTP GET at **2026-11-05 11:28:53.176004 UTC**, status 200. Local original: `sources/company-control/gts-incorporation.pdf`.

- **p1:** certificate of incorporation, 20 August 2024, company 15907803, private company limited by shares, registered in England and Wales.
- **p2:** electronic IN01 receipt on 20 August 2024; registered office and SIC 66110.
- **p3:** Elena proposed as secretary; subscriber confirmation of consent to act.
- **p4:** Ivan and Elena proposed as directors, with masked day of birth but April 1993 and June 1996 month/year respectively; both British and UK resident.
- **p5:** one ordinary share, GBP1 nominal capital, GBP1 aggregate unpaid. The particulars provide one vote per share and rights to dividends and capital distributions. This is not evidence of money being paid in.
- **p6:** Ivan is named for the one initial ordinary share; GBP1 unpaid, GBP0 paid. Visually checked against the rendered page.
- **pp7–9:** initial PSC statement; Ivan identified on p8 and control categories on p9. The original states 75% or more of shares and voting rights, and the right directly or indirectly to appoint or remove a majority of the board. Page9 visually checked.
- **p11:** compliance statement names Ivan; subscriber authentication is recorded.
- **p12:** memorandum names Ivan as the sole subscriber, authenticated electronically and dated 20 August 2024. Visually checked. This corroborates p6.
- **pp13–30:** attached articles are image-based in this download; the last page contains indemnity and insurance articles 53–54. No conclusion about bespoke conflict authorisations has been drawn from these pages; a lawyer should read the complete original articles if relevant.

The PDF’s text layer was extracted using the bundled `pypdf` reader under the PDF skill; relevant original pages were rendered using bundled Poppler. Image-based pages were not treated as empty evidence merely because text extraction returned blank. Saved review images include p6, p9, p12 and p30.

### Confirmation statement: 3 pages

[Original CS01 PDF](https://find-and-update.company-information.service.gov.uk/company/15907803/filing-history/MzQ3ODIyMTcxMWFkaXF6a2N4/document?download=0&format=pdf). Captured **2026-11-05 11:28:56.290664 UTC**, status200. Local original: `sources/company-control/gts-cs01.pdf`.

**p1** separates the statement date of 19 August 2025 from electronic receipt for filing on 21 August 2025. **p2** contains the required-information confirmation. **p3** records authentication by one of a list of eligible capacities, without an individual name. The filing index’s “no updates” description should not be turned into a new exact shareholder table. No named confirmation-statement submitter is established by this PDF.

### Strike-off application: 1 page

[Original DS01 PDF](https://find-and-update.company-information.service.gov.uk/company/15907803/filing-history/MzUwNjU4NTE2MWFkaXF6a2N4/document?download=0&format=pdf). Captured **2026-11-05 11:28:58.350963 UTC**, status200. Local original: `sources/company-control/gts-ds01.pdf`.

This download is image-based. Its **single page** was rendered and inspected visually. It lists both **KOVACHEV, Ivan** and **KOVACHEVA, Elena** under authorising directors and gives **19-02-2026** as each signature date. The filing index separately gives **26 February 2026** as filing date. The form contains the directors’ application/declaration; the existence of that declaration does not independently verify every underlying statement in it.

The visual reference is `sources/company-control/gts-ds01-page1.png`. There is no basis for continuing to label the original DS01 “unavailable” in an updated report.

## GTS PSC register and officer identity comparison

The [GTS PSC page](https://find-and-update.company-information.service.gov.uk/company/15907803/persons-with-significant-control) initially failed through the web retrieval tool, but a direct public HTTP GET succeeded. The saved HTML was captured at **2026-11-05 11:27:41.705961 UTC**. It reports one PSC and no PSC statements. Ivan is recorded as notified on 20 August 2024 with DOB April1993, British nationality, UK residence and the same correspondence address as the company. It lists the control categories in CC01. Identity-verification date fields are present; no violation is inferred from them.

The official [GTS Ivan profile](https://find-and-update.company-information.service.gov.uk/officers/FPnh6tgo62z7YEOCDarXvpezI7A/appointments) and [GTS Elena director profile](https://find-and-update.company-information.service.gov.uk/officers/q-daxDtWvCkuQgMCI0Gkqg54_j4/appointments) each display one appointment, to GTS. Captured **11:28:30.931884** and **11:28:32.224973 UTC** respectively.

The official [Capitalixe Ivan profile](https://find-and-update.company-information.service.gov.uk/officers/KHt_I_cjMI6k7hbRbkGEVH33vdk/appointments), captured **11:29:33.226925 UTC**, displays one appointment to CAPITALIXE LTD11853977, from 1 March2019, with DOB April1993. These are different profile IDs. The parent investigation separately reviews Capitalixe’s own co-founder statements naming Ivan and Lissele. Identity remains a question to resolve with the requester, rather than a conclusion based solely on name matching.

The official [Two and a Half Birds officer page](https://find-and-update.company-information.service.gov.uk/company/12513829/officers) was retrieved by the web tool at approximately **11:29 UTC** and gives a different Elena’s birth month/year and nationality. This negative match is retained to avoid contaminating the investigation with an unrelated person. Exact extraction time was not separately recorded, so this source should not be assigned an invented precise retrieval second.

## Swiss Impact Capital legal-entity trail

The website branch supplied an exact identifier, CHE-464.300.033. That is substantially better than searching “Impact Capital” without a jurisdiction or number.

1. [Swiss federal UID record](https://www.uid.admin.ch/Detail.aspx?uid_id=CHE464300033), captured **2026-11-05 11:29:31.934677 UTC** by direct GET, records **IMPACT CAPITAL MANAGEMENT Sàrl**, active UID and commercial-register statuses, **Chemin du Bois-Gentil25,1018 Lausanne, cantonVD**, and **CH-550.1.085.203-9**. The raw public record is preserved as `swiss-uid.html`; its stripped text is alongside it.
2. The UID record’s own Zefix link resolved in the browser to [official EHRA company1012227](https://www.zefix.admin.ch/de/search/entity/list/firm/1012227). The populated record was saved at **2026-11-05 11:31:28.257046 UTC** as `swiss-zefix-rendered.txt`, with a full-page screenshot. Plain curl had returned only the SPA shell; that shell is not confused with the populated record.
3. Zefix reproduces official SHAB publication **2908437,23June2016**, daily register4023 of20June2016: two former associates transferred their respective100parts to **Mouanfon Ngouh Yacouba**, who was appointed managing president with individual signature. Publication **2955777,15July2016** records removal of the former manager Njoya Ngouh Abass. Publication **3193617,30November2016**, daily register18803 of25November, records relocation from Fribourg to Lausanne and rename from G & M Trading Sàrl. The articles-change date is14November2016. The SHAB dates are publication dates, not website launch dates.
4. [Cantonal extract link provided by Zefix](https://prestations.vd.ch/pub/101266/extract?lang=FR&companyOfsUid=CHE-464.300.033) returned status200 but only an810-byte JavaScript application shell, saved as `impact-swiss-cantonal-shell.html`. In-browser navigation ended at a blank application. **No populated current cantonal extract was obtained.** Historical SHAB information must not be promoted to a current shareholder certificate.

The exact UID is also displayed by [Griot’s own About page](https://griot.im/about), which claims the same Swiss entity as operator and repeats the commercial-register number. That is a **new website operator-attribution lead**, handed to the parent for a dedicated follow-up agent. It does not by itself connect Griot, the Swiss company, or its named historical manager to Ivan, Elena or UK GTS.

Moneyhouse’s indexed page provides a secondary corroboration of the Swiss identity and names Yacouba Mouanfon Ngouh. The official Zefix publications are the primary basis for CC07; no paid report was purchased. No shared-name UK “Impact Capital Management Ltd” was conflated with the exact Swiss UID.

## Desmell and excluded leads

No exact Desmell legal entity connected to Elena was established in this branch. Search results for the fragrance-patch site [desmell.com](https://desmell.com/en/impressum/) identify viocapAG, Swiss UID CHE-243.394.487. [Canadian official trademark2141332](https://ised-isde.canada.ca/cipo/trademark-search/pdf/2141332?lang=eng) identifies wijpGmbH as registered owner of that mark. Those are separate entities and a name-only collision remains possible. The parent retains this branch separately; do not attach the Swiss fragrance business to Elena without identifying evidence.

Bulgarian results for people named Ivan Kovachev or Elena Kovacheva lacked the matching identity details required to attribute them to the GTS subjects and were not promoted into findings.

## Evidence preservation and next checks

`sources/company-control/capture-manifest.json` maps each preserved original to its exact URL, local write-completion capture timestamp, byte count, method and SHA-256 hash. Times are actual local file capture metadata in UTC, not inferred event dates. A capture hash establishes the preserved file’s identity, not the truth of the information filed or a trusted timestamp.

Priority next checks are now narrower:

1. Retain the requester’s confirmation that CAPITALIXE LTD11853977 is the original business. Complete formal matching of the registered Ivan’s identity with original records; preserve the concurrent appointment evidence.
2. Read Capitalixe’s original share filings and compare contemporaneous services and actual transactions. The parent has a dedicated branch for this.
3. Preserve any actual dated business disclosures and decisions. The requester confirms Ivan has not been asked and has not denied involvement.
4. Obtain the Swiss current cantonal extract and identify evidence tying actual domain operation to the legal entity, rather than relying only on footer identifiers.
5. Identify Desmell by exact legal name, jurisdiction and number before extending its corporate chain.
6. Establish actual trading, customers, service overlap and post-dissolution activity from dated original materials. Corporate existence and control are stronger now; competition and misconduct remain unestablished.
